Defendants allegedly particiated in a fraudulent scheme to not disclose Enron’s related-party transactions with partnerships controlled by its CFO, Andrew Fastow, and the millions of dollars Fastow received through those transactions. Defendant Rogers also allegedly failed to disclose and aided and abetted failures to disclose insider stock sales by Chairman Kenneth Lay totalling approximately $86 million.
