The defendant, a Chicago-based publishing corporation, included alleged misstatements in its financial filings regarding certain unauthorized transfers of assets to corporate insiders and related entities, improperly and unfairly benefiting them to the detriment of defendant’s shareholders. This case was resolved by completion of the work of a Special Monitor and a permanent injunction.
