Respondents were the CEO and COO of an unregistered issuer called Nature’s Fuel. They were found to have raised nearly $3 million through the sale of common stock of Nature’s Fuel and two of its subsidiaries to more than 70 investors. In so doing, they allegedly made material misrepresentations related to Nature’s Fuel’s prospects of obtaining needed financing and the
existence and terms of purchase agreements for its products. They also allegedly failed to disclose related party transactions.
