Defendant Rosenfeld, an advertising executive, allegedly tipped his friends, the co-defendants, to a pending tender offer for BDM International, Inc. by TRW, Inc. They traded for illicit profits of approximately $110,000. In addition, defendant Sher passed the tip along to six professional colleagues and family members who also traded, for profits of approximately $200,000.
